Corporate Associate – Seattle

Schwabe is seeking a mid-level attorney looking to join a well-established business transactions department with a sophisticated corporate practice serving domestic and international clients in challenging transactions. The ideal candidate will have the following qualifications: 

 

  • Minimum of four years of general corporate law experience

  • Experience with entity formation (private companies, limited liability companies, limited partnerships and joint ventures) financing, due diligence, and closings

  • Ability to provide general support for the real estate practice including contracts drafting and review, equity and debt financings, mergers and acquisitions, private placements, credit agreements, and other similar corporate tasks

  • Experience serving clients in at least one of our seven key industries is preferred

  • Ability to manage complex transactions independently

  • Strong client service ethics

  • Entrepreneurial and growth mindset

  • Membership in the Washington State bar or eligibility for reciprocity required

IP Litigation Attorney – Portland

Schwabe has an opening in its Portland, Oregon office for a full-time Intellectual Property Litigation Attorney in the Intellectual Property practice group. The ideal candidate will have:

 

  • 5-7 years of IP litigation experience with a focus on patent litigation

  • Experience in patent litigation-related research and motion drafting, including claim construction and dispositive motion practice

  • Strong writing skills

  • Demonstrated aptitude in managing independent projects within a team environment in a fast-paced litigation practice

  • Experience taking depositions and managing fact and expert discovery

  • Exceptional interpersonal and communication (written and verbal) skills

  • Strong client service skills and ethics

  • Demonstrated ownership of projects and willingness to work hard in a team-oriented setting, but with significant independence

  • USPTO admission and a technical background are a plus but are not required; however, the applicant needs to be able to understand and explain complex technologies

IP Privacy, Standards and Commercial Contracts Associate – Portland, Seattle, or Mt. View

  • Preparing privacy policies for websites and mobile applications

  • Negotiating contractual provisions allocating risk between clients and service providers related to personal data, trade secrets, and confidential information

  • Advising on representations and warranties related to privacy and security in M&A transactions

  • Advising on use of cookies, Google Analytics, and other common technologies in websites

  • Assessing and advising on matters related to technology standards

  • Drafting and negotiating commercial contracts and intellectual property agreements



    The ideal candidate will have:

  • Juris Doctorate (J.D.) Degree from an ABA-accredited law school
